Engagement of Services
DigiRavan provides digital services including UI/UX design, web development, digital marketing, social media management, and lead generation. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate project proposal or Statement of Work ("SOW") agreed upon in writing between DigiRavan and the client.
- Project commencement: Work begins only after a signed proposal or SOW and receipt of the agreed advance payment (typically 50% of the total project fee unless otherwise stated).
- Scope changes: Any changes to the agreed project scope requested by the client after commencement will be assessed and quoted separately. DigiRavan is not obligated to absorb scope expansions within the original fee.
- Client responsibilities: Timely delivery of required materials, content, approvals, and feedback is essential for project delivery. Delays caused by the client may result in revised timelines and, where applicable, additional charges.
- Revisions: Each project proposal includes a specified number of revision rounds. Additional revisions beyond the agreed number will be charged at our standard hourly rate.
- Third-party services: Where third-party tools, platforms, or subscriptions are required for your project, associated costs are your responsibility unless explicitly included in the proposal.
- Subcontracting: DigiRavan may engage trusted subcontractors or freelancers to deliver specific aspects of a project. We remain fully responsible for the quality and confidentiality of all work delivered.
Note: Any verbal agreements, promises, or expectations not captured in a signed proposal or SOW are not binding. All project terms must be confirmed in writing.
Fees, Payments & Refunds
All fees are stated in Indian Rupees (INR) unless otherwise agreed. Prices quoted in proposals are valid for 30 days from the date of issue. DigiRavan reserves the right to adjust pricing for proposals that have lapsed beyond this period.
- Payment schedule: A standard project requires 50% advance upon signing and 50% upon project completion, unless a different schedule is agreed in the SOW. For longer engagements, milestone-based payments may apply.
- Retainer services: Monthly retainer fees (e.g. for social media management, digital marketing, or ongoing maintenance) are due on the 1st of each calendar month. A grace period of 5 working days applies before services are paused.
- Late payments: Invoices not settled within the agreed payment terms may attract a late payment fee of 2% per month on the outstanding amount. DigiRavan reserves the right to pause delivery on any active project until overdue amounts are cleared.
- Payment methods: We accept bank transfer (NEFT/RTGS/IMPS), UPI, and Razorpay for card payments. All payments must be made in the name of DigiRavan.
- GST: Applicable Goods and Services Tax (GST) will be added to all invoices as required under Indian tax law. Clients requiring a GST invoice must provide their GSTIN at the time of engagement.
Refund policy: Advance payments are non-refundable once work has commenced. If a project is cancelled by the client before commencement, a 15% administrative fee will be deducted from any refund. Completed milestones are not eligible for refund under any circumstances.
Ownership of Work & Intellectual Property
Intellectual property rights in all deliverables created by DigiRavan are handled as follows:
- Client-owned deliverables: Upon receipt of full and final payment, DigiRavan assigns to the client all intellectual property rights in the final deliverables specified in the project SOW — including website files, custom design assets, and written content created exclusively for the project.
- DigiRavan-retained rights: DigiRavan retains the right to use completed work in our portfolio, case studies, social media, and marketing materials unless the client explicitly requests confidentiality in writing prior to project commencement.
- Third-party assets: Licences for stock photography, typefaces, plugins, or other third-party assets used in a project are the client's responsibility to maintain after handover. DigiRavan will document all third-party assets used in any final delivery.
- Proprietary tools & frameworks: Any internal frameworks, templates, tools, or processes developed or owned by DigiRavan and used in the delivery of your project remain the exclusive property of DigiRavan. The client receives a licence to use the final output — not the underlying tools.
- Partial payment: Where a project is incomplete or final payment has not been received, DigiRavan retains full ownership of all work-in-progress and completed deliverables until payment is made in full.
Portfolio use: We are proud of the work we create and may feature your project on our website, in pitch decks, or on social media. If you require a non-disclosure arrangement, please inform us before signing. We respect confidentiality when asked.
Confidentiality & Non-Disclosure
Both DigiRavan and the client acknowledge that, in the course of a project engagement, each party may receive access to confidential information belonging to the other. This includes but is not limited to business strategies, financial data, technical specifications, customer data, trade secrets, and proprietary materials.
- Both parties agree to maintain the confidentiality of any information disclosed during the engagement and to use it solely for the purposes of delivering or receiving the agreed services.
- Neither party shall disclose confidential information to any third party without prior written consent, except where required by law or court order.
- These confidentiality obligations survive the termination of any project engagement for a period of two (2) years.
- Confidentiality obligations do not apply to information that is already in the public domain, independently developed by the receiving party, or received from a third party without restriction.
If a formal Non-Disclosure Agreement (NDA) is required, DigiRavan is happy to provide or sign one. Please request this before project commencement. Our standard NDA is mutual and covers both parties equally.
Limitation of Liability & Disclaimers
DigiRavan provides all services with reasonable care and skill. However, to the fullest extent permitted by applicable law, we limit our liability as follows:
- No guarantee of results: We do not guarantee specific business outcomes, revenue growth, search engine rankings, conversion rates, or social media performance. Digital marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, and client-side factors.
- Website availability: While we take care to keep any websites or digital assets we build operational, DigiRavan is not liable for downtime, data loss, or service interruptions caused by hosting providers, third-party platforms, or events beyond our control.
- Cap on liability: In no event shall DigiRavan's total liability to a client for any claim arising from a project exceed the total fees paid by that client for the specific project giving rise to the claim.
- Indirect damages: DigiRavan shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
- Client-provided content: The client is solely responsible for ensuring that any content, materials, or data provided to DigiRavan for use in a project does not infringe the rights of third parties. DigiRavan accepts no liability for claims arising from client-supplied content.
Important: Nothing in these Terms limits DigiRavan's liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Statutory rights are not affected.
Termination of Engagement
Either party may terminate a project engagement under the following conditions:
- Termination by client: The client may terminate an engagement with 14 days' written notice. All work completed to the point of termination, along with any non-recoverable third-party costs incurred, will be invoiced and must be paid within 14 days of termination. Advance payments already received are non-refundable.
- Termination by DigiRavan: DigiRavan may terminate an engagement with 14 days' written notice if the client materially breaches these Terms, fails to make payment within the agreed timeline, or behaves in a manner that makes continued collaboration unreasonable.
- Immediate termination: DigiRavan reserves the right to terminate any engagement with immediate effect and without notice in cases of fraud, abusive conduct, or illegal activity on the part of the client.
- Handover: Upon termination, DigiRavan will provide the client with all paid-for deliverables and materials in their current state at the time of termination. No further obligation exists beyond this.
- Retainer cancellation: Monthly retainer services require 30 days' written notice to cancel. Services will continue and be invoiced for the full notice period.
Termination of an engagement does not affect any accrued rights or liabilities of either party as at the date of termination, nor does it affect any provisions that are intended to survive termination.
Governing Law & Dispute Resolution
These Terms and any disputes arising from them or from any engagement with DigiRavan are governed by the laws of India, without regard to its conflict of law provisions.
- Jurisdiction: Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Karnataka, India.
- Dispute resolution: Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation. Either party may escalate to a formal dispute process if no resolution is reached within 30 days of the initial written notice of dispute.
- Mediation: If direct negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
Our commitment: We genuinely hope disputes never arise. We work hard to be transparent, communicative, and fair in everything we do. If something goes wrong, we want to know about it and fix it — not fight about it.
